Limited 5-Year Extended Warranty – PaxLock Pro2

1. SCOPE/OVERVIEW 1.1 This limited 5-Year extended warranty only for the PaxLock Pro2 (the “Product”) is issued by the Company to the Buyer and is an extension to the standard warranty provided under the Company’s Terms & Conditions of Sale of Goods (“T&Cs”) found here and which are deemed incorporated into this agreement (“Warranty”). The terms of the Warranty are that the Company warrants to the Buyer that the Product will be free from material defects in materials and workmanship under normal use for a period of sixty (60) months from the date of delivery (the “Warranty Period”), subject to the terms, exclusions and limitations set out below and in the T&Cs (in particular in clauses 8.1 and 8.2).
2. WHAT IS COVERED 2.1 Subject to the Buyer’s obligation to examine the Product and notify the Company of any material defects therein within seven (7) days of delivery under clause 8.1 of the T&Cs, if during the Warranty Period the Company is in breach of the warranty in paragraph 1 above, the Company will, at its option, either:

(a) repair the defective component(s) of the Product, or

(b) replace the Product or defective component(s) with the same or functionally equivalent Product/component, at no charge for parts or workmanship. Repair or replacement is the sole and exclusive remedy available under this Warranty for covered defects.


2.2 The above Warranty is conditional on:

(a) the Buyer notifying the Company in writing within seven (7) days of discovery that the Product (or any part of it) does not comply with the Warranty; and

(b) the Buyer giving the Company a reasonable opportunity to examine the Product, in particular to permit the Company to access the Buyer’s premises, or return the Product to the Company (or its nominee) for testing, in each case, in accordance with clause 8.1 of the T&Cs and the claim procedure set out in paragraph 5 below.
3. WHAT IS NOT COVERED 3.1 This Warranty does not cover:

(a) Damage, malfunction or failure resulting from abuse, misuse, neglect, accident, alteration, improper installation or commissioning, improper maintenance, improper storage or use contrary to product instructions or specifications (whether oral or written).

(b) Fair wear and tear, cosmetic damage, consumable items, batteries, lost keys, or damage caused by environmental conditions outside those specified in Paxton product documentation.

(c) Any Product that has been repaired, modified or opened by anyone other than an authorised service provider without the Company’s prior written consent.

(d) Any software related to the Product.

(e) Loss of data, software damage or third-party software compatibility issues.

(f) The Buyer’s use of the Product after giving notice in accordance with paragraph 2 above.

These exclusions are in addition to the exclusions set out in the T&Cs (in particular at clause 8.2).
4. CUSTOMER OBLIGATION (CONDITIONS PRECEDENT TO FULL WARRANTY COVERAGE) To qualify for any of the warranty remedies under this Warranty, the Buyer must comply with the obligations set out in below. Failure to meet these obligations may, at the Company’s discretion, reduce or void warranty coverage:

(a) Lockset — The Buyer confirms and represents that the lockset used with the Product is itself new at the time of installation and that the unit includes a functioning key override.

(b) Door Environment — The Buyer confirms that it has reviewed and approved the door environment used with the Product and that the environmental and structural conditions (door type, clearances, frame, weather exposure, and related hardware) are suitable for the Product to be installed and meet Paxton’s published requirements.

(c) Installation — The Buyer confirms that the Product was installed using the correct tools and only the equipment and parts provided in the Product packaging (or otherwise expressly specified by Paxton), and that installation was performed in accordance with Paxton’s installation instructions and best industry practice.
5. CLAIM PROCEDURE 5.1 To make a claim under the Warranty, the Buyer must either:

(a) contact Paxton Support to report the issue and obtain a Return Material Authorisation (“RMA”) prior to returning any Product; or

(b) return the Product to the distributor from whom it was originally purchased, together with valid proof of purchase (invoice or receipt showing date of delivery).

5.2 Where the Buyer contacts Paxton Support, Support must first be given a reasonable opportunity to troubleshoot the reported issue. An RMA will not be issued unless and until Paxton Support has completed initial troubleshooting and determined that return of the Product is required. The Company reserves the right to decline or delay authorisation of an RMA where adequate evidence of prior troubleshooting has not been provided.

5.3 When contacting Paxton Support or returning the Product, the Buyer should be prepared to provide the Product serial number and a description of the defect. The Company, or its nominee (such as a distributor) may request additional information such as images, diagnostic logs, or the return of the defective Product or component for inspection and testing. Warranty claims will be processed in accordance with the procedures set out in the T&Cs.
6. REMEDIES AND LIMITATIONS 6.1 The Company’s sole obligation under this Warranty is limited to repair or replacement as stated in paragraph 2 above.

6.2 Except as required by applicable law, the Company shall not be liable to the Buyer under or in connection with this Warranty, whether in contract, tort (including negligence), breach of statutory duty or otherwise for any:

(a) incidental, consequential, special or punitive loss or damages;

(b) loss of profits;

(c) loss of business or loss of use; or

(d) installation/removal costs

This limitation is additional to the exclusions of and limitations on the Company’s liability set out in the T&Cs (in particular at clause 9).
7. VOIDANCE This Warranty is void if the Buyer fails to comply with paragraph 4 (Customer Obligations), tampers with or alters the Product, or uses non-approved accessories. Any unauthorised repair or modification voids this Warranty.
8. GOVERNING LAW AND RELATIONSHIP TO PAXTON TERMS & CONDITIONS 8.1 This Warranty supplements and does not replace or reduce rights afforded by the T&Cs; where this Warranty conflicts with the T&Cs, the T&Cs shall govern.

8.2 The T&Cs and this Warranty together form the complete warranty and remedies agreed between the parties.

8.3 This Warranty is governed by English law and any dispute arising out of or in connection with it shall be subject to the non-exclusive jurisdiction of the English courts.
